Working with us

How do I get started?

Simply write to us, call or fill in the contact form. We will get back to you and arrange an initial consultation.

How much do your services cost?

We set the price individually depending on the scope of the service. You always know it upfront, before any work begins.

Do I have to come in person?

Most steps can be handled remotely. A personal meeting in Žilina is of course possible.

Do you also handle steps the law requires in a special form?

Yes. We handle the entire process for you, including steps that require a special form. All you do is review and sign.

How do you treat information about my company?

Confidentially. We use the information you provide solely to handle your request.

Do you work with clients outside Žilina?

Yes. Thanks to remote cooperation, we work with clients wherever they are based.

Company formation and management

What is the difference between a civic association and a non-profit organisation?

A civic association is membership-based and serves the shared interests of its members. A non-profit organisation provides services of general benefit to the public under pre-defined conditions. We will assess which form suits you better during the consultation.

How many people are needed to set up a civic association?

The registration application is filed by at least three citizens forming a preparatory committee, and at least one of them must be over 18.

How many members must a cooperative have?

A cooperative must have at least five members when it is formed. This does not apply if at least two of its members are legal entities.

How long does it take to set up an s. r. o.?

It depends on how quickly the documents are ready and on the registry court’s timelines. At the initial consultation we will tell you what timeframe to expect.

What documents will you need from me?

Mainly details of the shareholders and managing directors, a proposed business name, the registered office address and a list of the activities you plan to carry out. You will receive an exact list after the initial consultation.

Do I have to visit any authorities in person?

No. We handle the official steps for you. We need the documents and your signatures — we will explain in advance how signing works.

How much does it cost to set up a company?

We set the price individually depending on the scope of the service. Our quote also shows the fees payable to the state.

How does a j. s. a. differ from a classic joint-stock company?

A simple joint-stock company has a much lower minimum share capital, does not need a supervisory board and allows more freedom in setting the rights attached to shares. Its shares, however, cannot be publicly traded on a stock exchange.

Does a j. s. a. make sense without investors?

Yes, but its advantages really show when you expect further shareholders to join. Otherwise a limited liability company may be the simpler choice. We will look at it together during the consultation.

What is the difference between an s. r. o. and an a. s.?

A joint-stock company has a higher minimum share capital, mandatory bodies including a supervisory board and stricter rules of operation. On the other hand, it makes it easier to bring in investors and transfer shares. We will assess which form suits you better at the consultation.

Can I convert an s. r. o. into a joint-stock company later?

Yes, a change of legal form is possible. We will go through the procedure and documents with you individually.

Can you take over the administration of an existing company?

Yes. We start by reviewing the current state of the company and its documents and propose what needs to be put in order.

Corporate changes

Can several changes be handled at once?

Yes, and it is often more efficient. We prepare the changes together and file them in a single application.

What if the register records have been out of date for a long time?

We review the current state and prepare everything needed to put it right. The sooner the records are updated, the better.

Is selling the company an alternative to liquidation?

In some cases, yes. We assess which route suits you better based on the state of the company.

How long does liquidation take?

At least six months by law, usually about a year in practice. Statutory time limits cannot be shortened; we will give you a more precise estimate after assessing the company.

Can I just suspend an s. r. o.?

No. A trade licence can be suspended, a company cannot. While an s. r. o. is registered, it keeps accounts, files tax returns and pays the minimum tax of €340 a year.

Is minimum tax due during liquidation?

Not for the liquidation period. For a period before entering liquidation shorter than a year, a proportional part is due based on the number of months.

Will I get the €1,500 deposit back?

The deposit covers the liquidator’s fee and expenses. After removal, the notary releases it to the last registered liquidator; the law does not provide for returning it to the shareholders.

What if the company turns out to have more debts than assets during liquidation?

In that case the liquidator must file for bankruptcy. That is why we review the company before it enters liquidation.

Is selling the company faster than liquidation?

Yes, a share transfer usually takes one to two weeks. However, the company does not cease to exist but continues with a new owner — and it is only suitable for a debt-free company.

Can I keep doing business after liquidation?

Yes. You can set up a new company, be a managing director elsewhere or trade as a sole trader.

Can I just suspend my s. r. o.?

No. A trade licence can be suspended, a company cannot. As long as the s. r. o. is registered in the Commercial Register, it must meet its accounting, tax and other obligations even without any activity.

Which is faster — liquidation or selling the company?

Transferring the ownership interest is usually much faster, typically a matter of weeks. Liquidation takes at least six months by law. A sale, however, only suits a company without debts.

Do I automatically stop being managing director after selling my interest?

No. The office of managing director does not end automatically with the transfer — you need to resign or be removed by the new shareholder, and the change must be registered in the Commercial Register.

What if the company cannot pay its debts?

Then liquidation is not the answer. If the company is insolvent, the managing director must file a bankruptcy petition within 30 days. We will assess the situation with you and help with the next steps.

International companies

Which country is best?

There is no universally best jurisdiction. Our recommendation always depends on your business goals, markets and how much weight you place on credibility.

Do I need to travel abroad in person?

It depends on the country. Some jurisdictions allow remote incorporation, while others — such as the United Arab Emirates — require personal presence.

Contracts and receivables

When should I start collecting a debt?

As soon as possible after the due date. Over time, the risk that the debtor will be unable to pay increases, as does the risk of limitation.

Tailored solutions

Do you work with a specific CRM system?

We choose the solution based on your needs, team size and the tools you already use — not the other way round.

Is a CRM worthwhile for a small company?

Yes. Even a small company benefits from having customers and deals in one place. We design the solution to match its size.

Why buy a ready-made company instead of setting up a new one?

The main advantage is time. The company already exists, so after the transfer you can do business immediately without waiting for the whole formation process.

Could the company have hidden liabilities?

We offer companies that have not carried out any activity since formation and have no debts or liabilities. We provide all the necessary documents before the transfer.

Is a holding worthwhile for a small business?

For a start-up with no employees or valuable assets, usually not. It makes most sense with several companies, valuable assets, a planned sale or an investor coming in.

Does a holding guarantee the owner’s anonymity?

No. A holding lets you organise ownership lawfully and limit unnecessary disclosure, but the ultimate owner must always be known to banks, authorities and the relevant registers.

How do existing companies get under the holding?

Most often by transferring the ownership interests to the parent company or contributing them in kind. It is the most technically demanding step, so we prepare it together with a tax adviser.
